Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, software, and websites (collectively, the "Service") provided by Novus ("Novus", "we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

The Service is a B2B sales engagement platform that researches prospects, drafts and sends outbound communications, and reports on engagement. The Service may integrate with third-party tools you authorize (CRMs, email providers, calendar tools, LinkedIn outreach, lead databases, AI model providers).

2. Accounts

You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at security@novusasi.com of any unauthorized use.

3. Subscriptions, Fees, and Billing

Paid plans are billed in advance on a recurring basis. Fees, included usage allowances, and overage rates are set out at signup or in your order form. Unless required by law, fees are non-refundable. We may change pricing on renewal with at least 30 days' notice.

4. Acceptable Use

You agree not to use the Service to:

  • send unlawful, harassing, deceptive, or unsolicited bulk communications in violation of applicable anti-spam laws (including but not limited to CAN-SPAM, CASL, and GDPR);
  • impersonate any person or misrepresent affiliation;
  • target individuals who have opted out, suppressed, or unsubscribed;
  • upload, process, or transmit data you do not have lawful basis to provide;
  • interfere with, probe, or reverse-engineer the Service;
  • exceed documented rate limits or use the Service to build a competing product.

You are solely responsible for the content you generate, send, and store via the Service.

5. Your Content and Data

You retain all rights to data you submit ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide the Service and as further described in our Privacy Policy and Data Processing Agreement.

6. Third-Party Services

The Service interoperates with third parties (including HubSpot, Salesforce, Apollo, Exa, Instantly, HeyReach, Cal.com, and Calendly). Your use of those services is governed by their own terms, and we are not responsible for them.

7. Intellectual Property

We and our licensors retain all right, title, and interest in the Service, including all software, models, designs, and documentation. No rights are granted except those expressly stated in these Terms.

8. Confidentiality

Each party will protect the other's non-public information using at least the same care it uses to protect its own confidential information, and will use it only to perform under these Terms.

9. Termination

You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate access for material breach, non-payment, or to comply with law. Upon termination, your access ends and we will delete or return Customer Data per the DPA.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED OUTPUT MAY BE INACCURATE; YOU ARE RESPONSIBLE FOR REVIEW BEFORE SENDING.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will defend and indemnify us from third-party claims arising from your Customer Data, your violation of these Terms, or your violation of applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Any dispute will be brought exclusively in the state and federal courts located in New Castle County, Delaware, except either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-product notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
